This brief meeting provides interested member-owners with an overview of the Credit Union’s accomplishments, and the 2018 Annual Report is distributed. Light refreshments will be served. A video of the annual meeting and the annual report are available online after the annual meeting.
Members in good standing that are at least 18 years of age on or before March 28, 2019, may attend and participate. Proof of membership (member number and photo ID) required. All attendees must be primary members of Texans CU in good standing. Joint account owners (including children and spouses) are not eligible for attendance, unless they have their own individual primary membership. Due to limited seating, an RSVP is requested. RSVP using the form below or by calling 972.348.2000 by Friday, March 22, if you plan to attend. Registration opens at 5:30pm so the meeting can start promptly at 6:00pm.
At this year’s meeting, there is one position up for election. This position is for a three-year term.
Members may be nominated by the nominating committee or petition.* The nominating committee nominates two nominees, Jurgen Arts and Tom Boedecker, to fill two open positions.
Jurgen Arts has served as member of the Board of Directors since the credit union was released from conservatorship in June 2016. Prior, he served as Director on the credit union’s advisory board and played an instrumental role in Texans’ exit of conservatorship. Jurgen is a full time officer at Ericsson, where he has served in several leadership capacities since 1996, including his current position as Chief Financial Officer for the North American Division. Prior to that role, he was the Chief Financial Officer for the South American Division. Jurgen obtained a degree in economics, an MBA, received management training from Columbia School of Business, and is fluent in five languages. He holds himself, and the organizations he is associated with, to the highest ethical standards and is highly regarded as a strategic leader.
Tom Boedecker has served as member of the Board of Directors since the credit union was released from conservatorship in June 2016. Prior, he served as a member of the credit union’s advisory board and played an instrumental role in Texans’ exit of conservatorship. Tom is a retired engineer and financial leader from Texas Instruments, where he started his career in 1964. During retirement, Tom has served in various leadership roles with non-profit organizations related to Texas Instruments, including Executive Vice President of the Texas Instruments Alumni Association (TIAA). Since 1964, Tom has been very supportive of Texans Credit Union and is known by his peers as a man of high integrity, competency, and character.
- If valid nominations by all methods result in only one candidate per position, all such nominees are considered elected by general consent.
- If valid nominations by all methods result in more than one nominee for each vacancy, the elections are conducted by mail balloting and determined by plurality vote.
* Nominations shall not be made from the floor unless sufficient nominations have not been made by the nominating committee or by petition to provide for one nominee for each position to be filled or circumstances prevent the candidacy of one nominee for a position to be filled. Should these circumstances take place and allow nominations from the floor, the election is conducted a t the annual meeting. Nominations by petition must be signed by at least 500 members who are eligible to vote. Each petition may contain the name of only one nominee. No member may sign a petition by proxy or other device. Each petition must be accompanied by a brief statement of qualifications and biographical data, and a signed certificate stating agreement to serve if elected. Nominations by petition must be filed with the Board Secretary no later than February 5, 2018. All Board of Director members must be approved by federal and state regulators prior to being seated as a Director.
